Staff Stack

Terms of Service

Effective date: September 25, 2026

These Terms of Service ("Terms") govern your use of Staff Stack's services. Staff Stack is a service of Kaizen Brands LLC, a Wyoming (USA) limited liability company. In these Terms, "Staff Stack", "we" and "us" mean Kaizen Brands LLC doing business as Staff Stack, and "you" or "Client" means the agency or business that engages us. By paying a deposit, signing an order, or otherwise engaging our services, you agree to these Terms.

1. Services

We connect agencies with pre-vetted Filipino marketing operators in two ways:

  • Direct Hire placement. We source, assess and shortlist operators for a role you describe. You choose an operator and engage them directly; after placement you are responsible for the working relationship, pay, and any employment or contractor obligations.
  • Managed Teams. We place an operator with you and handle payroll and day-to-day HR admin for that operator while the engagement continues. You direct the operator's day-to-day work.

Our target timeline is a shortlist of vetted operators within 5 business days of receiving your completed brief, and a start date within 7 days of your pick. These are targets, not guarantees; the only remedies for a missed shortlist are those in section 3.

Operators work from their own business-grade setup. Before placement we verify their internet connection and backup power. We do not supply hardware or software licences.

StackCertified is our own internal skills assessment. It is not a third-party or vendor certification.

2. Fees and payment

Fees are shown on our pricing page or in a written quote, which prevails if the two differ. All amounts are in US dollars and exclude taxes, which you are responsible for. Card payments are processed by Stripe; we never see or store your full card number.

  • Direct Hire placement fee: a one-time fee of 25–35% of the operator's first-year salary, as quoted for the role, due when you confirm the hire.
  • Managed Teams fee: the operator's salary plus a Staff Stack fee of $1,600 per operator per month, invoiced monthly in advance.

3. The $500 Direct Hire deposit

A Direct Hire search starts with a $500 deposit. The deposit is fully refundable if we don't deliver a shortlist within 10 business days of receiving your completed brief, or if you decide not to hire from the shortlist. If you hire, the deposit is credited against the placement fee. See our Refund Policy for how to request a refund.

4. Managed Teams term and cancellation

Managed Teams is month-to-month. There is no long-term contract and no early-termination fee. Either party may cancel with 30 days' written notice (a message through our contact form counts). Fees for any month already started are not refunded.

5. Replacement guarantee

If an operator we placed leaves or is not the right fit, we will find and place a replacement at no extra fee within the guarantee window:

  • Direct Hire: 6 months from the operator's start date.
  • Managed Teams: 30 days from the operator's start date.

The guarantee is a free replacement, not a refund of fees. It is your sole and exclusive remedy for an operator's fit or performance. To use it, use our contact form within the window and tell us what isn't working.

6. Your responsibilities

  • Give us an accurate brief and timely feedback on candidates.
  • Provision, manage and revoke the operator's access to your tools and data, using least-privilege accounts.
  • Direct and review the operator's work, and pay invoices when due.
  • Comply with the laws that apply to your business and to your use of the operator.

7. Confidentiality

Each party will keep the other's non-public business information confidential, use it only to perform or receive the services, and share it only with people who need it for that purpose. This does not apply to information that is public, already known to the receiving party, or required to be disclosed by law.

8. Ownership of work product

Work product an operator creates for you under an engagement belongs to you once the fees for that engagement have been paid. We keep ownership of our own materials, including our assessments, scorecards and processes.

9. No other warranties

Apart from what these Terms expressly state, the services are provided "as is". We don't guarantee any particular business result from an operator's work, and to the extent the law allows we disclaim all other warranties, express or implied.

10. Limitation of liability

To the extent the law allows, our total liability arising out of or relating to the services is limited to the fees you paid us in the 3 months before the event giving rise to the claim. Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue.

11. Termination

Either party may end an engagement if the other materially breaches these Terms and doesn't fix the breach within 14 days of written notice. Managed Teams may also be cancelled as described in section 4. Sections 5 to 10 and 12 survive termination, as do any unpaid fees.

12. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules.

13. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date. Changes apply to engagements that start, or deposits paid, after the effective date.
